Important Notice
Motor Diligence provides buyer-side coordination and advisory services for remote vehicle due diligence. We do not sell vehicles, perform inspections, operate as a dealership, or guarantee vehicle condition. Please read these Terms carefully before using our services. By submitting a service request, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Motor Diligence website (motordiligence.com) or submitting a service request, you agree to be bound by these Terms of Service and Disclaimer ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Motor Diligence ("Company," "we," "us," or "our"). We reserve the right to update these Terms at any time. Continued use of our services after any such changes constitutes your acceptance of the revised Terms. The date of the most recent revision is noted above.
2. Nature of Services
Motor Diligence provides buyer-side vehicle due diligence coordination and advisory services. Our services include, but are not limited to: • Identifying and scheduling independent third-party pre-purchase inspections • Reviewing and summarizing third-party inspection findings • Providing advisory recommendations based on available information and our professional assessment • Conducting remote listing risk checks, including verification of listing details and availability • Monitoring vehicle listing prices and availability status over time at Client's request • Where requested, facilitating introductions to independent third-party vehicle transport providers Motor Diligence is not a vehicle dealer, broker, auction platform, repair facility, inspection company, or licensed transportation carrier or broker. We do not hold any dealer license, transport broker license, or inspection certification unless separately and explicitly disclosed in writing.
3. No Guarantee of Vehicle Condition
Motor Diligence does not guarantee vehicle condition, mechanical fitness, title status, odometer accuracy, accident history, or the absence of current or future defects of any kind. All reports, assessments, and recommendations are advisory only and reflect our professional opinion based on available information at the time of review. No pre-purchase inspection — whether remote or in-person — can identify every existing or future vehicle issue. Latent defects, intermittent failures, and internal component deterioration may not be detectable during a standard inspection. The buyer assumes all risk associated with any vehicle purchase decision. Motor Diligence expressly disclaims any warranty, express or implied, regarding vehicle condition or fitness for any particular purpose.
4. Independent Third-Party Inspectors
Physical vehicle inspections are performed exclusively by independent third-party mechanics, inspection services, or automotive professionals who are not employees or agents of Motor Diligence. Motor Diligence does not perform inspections, and we are not responsible for the quality, accuracy, completeness, timeliness, or outcomes of any third-party inspection report. We select inspection providers in good faith based on availability and general reputation but do not warranty, endorse, or guarantee the work of any third-party inspector. Any dispute regarding inspection quality, scope, or findings is solely between the buyer and the inspection provider. Motor Diligence will not be held liable for errors, omissions, or negligence on the part of any third-party inspector.
5. Independent Third-Party Transportation
When vehicle transportation coordination is requested, Motor Diligence facilitates an introduction to independent third-party auto transport providers. Motor Diligence does not operate as a carrier, freight broker, or freight forwarder, and assumes no responsibility for transportation services. Transportation agreements are entered into directly between the Client and the selected carrier. Motor Diligence is not a party to any transportation contract and is not responsible for vehicle damage, delays, loss, theft, or any other outcome arising during transportation. Clients are strongly advised to verify carrier insurance and to obtain independent transport insurance where appropriate.
6. Listing Monitoring Services
Motor Diligence offers optional listing price and availability monitoring as part of certain service packages. This service involves periodically checking the provided listing URL for changes in asking price and listing availability status using automated and AI-assisted tools. Listing monitoring is provided on a best-effort basis. We do not guarantee the accuracy, completeness, or timeliness of any monitored data. Listings may change without detection due to website restrictions, technical errors, or monitoring intervals. Any price or availability information provided is informational only and should not be relied upon as a final confirmation of listing status before making purchasing decisions.
7. AI-Assisted Services
Motor Diligence utilizes artificial intelligence tools, including large language models, to assist with tasks such as listing analysis, report summarization, and listing status checks. AI-assisted outputs are reviewed by our team where practicable, but we do not guarantee their accuracy or completeness. AI tools may misinterpret listing content, fail to extract data from certain websites, or produce outputs that contain errors. You acknowledge that AI-assisted results carry inherent limitations and should not be the sole basis for any purchasing decision. Motor Diligence is not liable for errors arising from AI tool outputs.
8. Advisory Nature of Recommendations
All Motor Diligence reports, findings, recommendations, and communications — including any "Proceed," "Negotiate," or "Walk Away" conclusions — are advisory in nature. They represent our professional opinion based on available information and do not constitute a guarantee, warranty, representation, or legal, financial, or mechanical advice. Clients retain full and sole responsibility for all vehicle purchase decisions. Motor Diligence is not liable for any loss, damage, cost, or expense of any kind arising from a Client's decision to purchase, decline to purchase, or negotiate terms for a vehicle.
9. User Responsibilities
By using our services, you represent and warrant that: • All information you provide to Motor Diligence is accurate, complete, and not misleading • You are the prospective buyer of the vehicle in question, or are acting with the explicit authorization of the prospective buyer • You will not use our services for any unlawful purpose, including but not limited to vehicle fraud, identity fraud, or misrepresentation • You will not attempt to reverse-engineer, scrape, or otherwise misuse our platform, reports, or proprietary processes • You are at least 18 years of age and have the legal capacity to enter into binding agreements Motor Diligence reserves the right to refuse service or terminate access to any Client who violates these Terms or engages in conduct we determine, in our sole discretion, to be harmful to our business, other Clients, or third parties.
10. Intellectual Property
All content on the Motor Diligence website and in our reports — including but not limited to text, graphics, logos, methodology, report formats, and software — is the exclusive intellectual property of Motor Diligence or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. Reports and summaries delivered to a Client are licensed solely for that Client's personal, non-commercial use in connection with their specific vehicle review. You may not reproduce, distribute, publish, sublicense, sell, or otherwise exploit any Motor Diligence content or deliverables without our prior written consent.
11. Payment and Refunds
Service fees are due at the time of service request submission. Fees are non-refundable once inspection coordination or service delivery has been initiated. If Motor Diligence is unable to coordinate an inspection or complete a service for a specific vehicle or location through no fault of the Client, a full refund will be issued. Cancellation by the Client after a third-party inspector has been scheduled may result in partial or full forfeiture of the service fee, depending on costs already incurred. Any applicable refund will be communicated to the Client in writing.
12. Service Availability
Our web application is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We may modify, suspend, or discontinue any aspect of the service at any time without liability to you. Scheduled or emergency maintenance, third-party outages (including those affecting our database provider, Supabase), or unforeseen technical issues may result in temporary unavailability. We will endeavor to provide advance notice of planned maintenance where feasible.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Motor Diligence's total aggregate liability to any Client for all claims arising out of or relating to our services or these Terms shall not exceed the total fees actually paid by that Client for the specific service at issue. Motor Diligence shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: vehicle repair or reconditioning costs; diminished vehicle value; loss of anticipated savings; lost profits or business opportunities; transaction costs; or any loss or corruption of data, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Motor Diligence and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our services; (b) your breach of these Terms; (c) any inaccurate or misleading information you provide to us; or (d) your violation of any applicable law or third-party rights.
15. No Relationship with Sellers
Motor Diligence has no financial, referral, or business relationship with any vehicle seller, dealership, auction house, or inspection provider engaged in connection with any specific Client engagement, unless explicitly disclosed in writing before services are rendered. Our services are provided exclusively on behalf of and in the interest of the buyer.
16. Third-Party Links and Services
Our website and reports may contain links or references to third-party websites, listing platforms, or services. These are provided for informational convenience only. Motor Diligence does not endorse, control, or assume responsibility for the content, privacy practices, or reliability of any third-party website or service. Your use of third-party sites is at your own risk and subject to their respective terms.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services that cannot be resolved informally shall be submitted to binding arbitration in Contra Costa County, California, in accordance with the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You waive any right to bring claims as a plaintiff or class member in any class action, consolidated action, or representative proceeding.
18. Severability and Entire Agreement
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions. These Terms, together with any service-specific agreements or order confirmations, constitute the entire agreement between you and Motor Diligence regarding the subject matter herein and supersede all prior communications, representations, or agreements.
